Terms of Service & Service Agreement

1. Introduction

Welcome to Obsidian Nexus LLC ("we," "us," or "our"). These Terms of Service govern your use of our digital marketing services, consulting, and any associated web platforms. By executing a service agreement, signing a proposal, or utilizing our consulting services, you agree to be bound by these terms.

2. Scope of Services

Obsidian Nexus LLC provides comprehensive digital marketing and lead generation solutions, including but not limited to:

• Paid Social Management: Strategy, execution, and optimization of Meta (Facebook/Instagram) Ad campaigns.
• Lead Generation & CRM Integration: Deployment of automated systems via platforms like GoHighLevel or HubSpot.
• Marketing Strategy: Development of sales scripts, funnel architecture, and brand positioning.
• Creative Services: Design and asset creation for digital advertising.

3. Client Obligations & Collaboration

Access: Clients must provide timely access to necessary advertising accounts (Meta Business Suite), website backends, or CRM platforms to ensure service delivery.

Approvals: We require prompt feedback on creative assets and campaign strategies. Delays in approval may result in shifted launch dates.

Ad Spend: Unless otherwise stated, "Management Fees" do not include "Ad Spend." Ad Spend is paid directly to the advertising platforms (e.g., Meta) by the client.

4. SMS & Communication (A2P Compliance)

By providing your contact information, you consent to receive communications regarding your project status, lead notifications, and account updates.

• Opt-In: Consent is established via web form submission, contract signing, or direct inquiry.
• Opt-Out: Reply STOP to any SMS message to cease text communications.
• Frequency: Message frequency varies based on project needs and lead volume. Standard message and data rates apply.
• Carrier Liability: Mobile carriers are not liable for delayed or undelivered messages.
• Age Restriction: By opting into our SMS program, you acknowledge and agree that you are at least 18 years of age.

5. Estimates, Billing & Payments

Proposals: Quotes and project proposals are valid for 30 days from the date of issuance.

Payment Terms: Recurring management fees are billed monthly in advance. Project-based services require a deposit as outlined in your specific Statement of Work (SOW).

Late Payments: We reserve the right to pause active campaigns or service delivery if accounts remain past due for more than 7 days.

6. Performance, Warranties & Liability

Results: While Obsidian Nexus LLC uses data-driven strategies to maximize ROI, we do not guarantee specific sales figures or lead quantities, as market conditions and third-party platform algorithms are outside of our direct control.

Platform Compliance: We strive to adhere to all platform policies (e.g., Meta's Advertising Policies). We are not liable for account suspensions resulting from pre-existing account issues or client-requested content that violates platform terms.

Limitation of Liability: Our total liability for any claim arising out of our services shall not exceed the total amount paid by the client to Obsidian Nexus LLC during the three months preceding the claim.

7. Intellectual Property

Upon full payment of all fees, the client retains ownership of final creative assets and copy produced specifically for their campaigns. Obsidian Nexus LLC retains the right to use anonymized data and screenshots of results for internal case studies and marketing purposes, unless a non-disclosure agreement (NDA) specifies otherwise.
